What should a portfolio company board pack include?

It should include financials, liquidity, KPI trends, budget variance, major initiatives, risks, people updates, lender items, and decisions requested.

A board pack should make the board useful by turning operating facts into decisions and accountability. For sponsors, operating partners, board members, and portfolio company management teams, the practical answer is to treat the question as part of post-close handoff, KPI ownership, board cadence, cash control, value creation initiatives, management accountability, and exit preparation, not as a one-off definition. The record should show the value creation plan, board materials, KPI dashboard, budget, variance commentary, initiative tracker, lender reports, and risk log so an investor, lender, counsel, administrator, or operating lead can reconstruct the decision later. Open with the few decisions needed, then support them with numbers, commentary, trend analysis, and owner updates. The common failure mode is building a large reporting deck that informs the board but does not ask it to decide, approve, challenge, or unblock anything.
