Legal & Compliance
Compliance Framework
The set of policies, procedures, and controls that a fund or company implements to ensure adherence to legal, regulatory, and ethical requirements.
A compliance framework in venture capital encompasses the systems and processes that ensure a fund operates within legal and regulatory boundaries. This includes SEC registration and reporting, anti-money laundering (AML) procedures, know-your-customer (KYC) processes, insider trading policies, conflict of interest disclosures, and political contribution restrictions (pay-to-play rules for public pension LP funds). Compliance requirements increase with fund size and institutional LP base.
In Practice
Before accepting their first public pension LP, the emerging manager built out a compliance framework covering AML/KYC procedures, personal trading policies, political contribution restrictions, and annual compliance review processes.
Why It Matters
Compliance failures can result in regulatory sanctions, investor lawsuits, and reputational damage that ends a GP's career. Institutional LPs increasingly evaluate compliance infrastructure as part of their operational due diligence.
VC Beast Take
Compliance is boring until it's not. The firms that invest in compliance infrastructure early avoid the catastrophic failures that destroy firms overnight.
