About Ironclad

Ironclad sells contract lifecycle management software that lets legal, sales and procurement teams draft, negotiate, sign, store and analyze contracts on one platform, with AI features for generation, data extraction and redlining. The company was founded in 2014 by attorney Jason Boehmig, a former Fenwick & West lawyer, and engineer Cai GoGwilt. It launched out of Y Combinator's Summer 2015 batch and is headquartered in San Francisco. Customers named by the company include OpenAI, Salesforce and L'Oreal. Dan Springer, the former CEO of Docusign, became CEO in 2025, with Boehmig remaining as co-founder.

After Y Combinator, Ironclad raised a Series A led by Accel in 2017; Accel partner Steve Loughlin led the deal and joined the board. In 2019 it raised a Series B led by Sequoia Capital; a Form D filed in February 2019 reports $22.75 million sold, and lists Sequoia partner Jess Lee alongside Loughlin as directors. In September 2019 Y Combinator Continuity led a $50 million Series C with Emergence Capital, Accel and Sequoia, bringing funding to about $83 million. In December 2020 The Information reported a round of at least $100 million valuing the company at more than $950 million; the company lists this as its Series D, raised alongside the 2021 acquisition of clickwrap provider PactSafe. By September 2021 Ironclad had raised $184 million and had 300 employees and 1,000 customers. It raised a Series E in 2022. Its current backers, per the company, are Accel, Sequoia, Y Combinator, BOND and Franklin Templeton.

Ironclad remains private. In February 2026 it announced that it had passed $200 million in annual recurring revenue, and the company says its platform has processed more than two billion contracts. It has added an eSignature product, an AI assistant called Jurist and AI agents for procurement teams, and it has been named a leader in Gartner's contract lifecycle management Magic Quadrant. The amount and valuation of the 2022 Series E were not confirmed in the sources reviewed.

Ironclad is an example of a vertical software company built by a domain expert and carried from accelerator to growth stage by a consistent investor syndicate. Y Combinator backed it at the earliest stage and then led its Series C through its Continuity fund, Accel and Sequoia each led an early round and kept investing, and crossover investors such as BOND and Franklin Templeton came in later. Twelve years after founding, its backers have not had a liquidity event, and the ARR milestone and leadership change point toward an eventual public listing or sale.
