MoonPay is a financial technology company that provides on-ramp and off-ramp software for converting fiat currencies into cryptocurrencies and back, along with checkout, stablecoin payment and NFT purchasing tools. MoonPay Inc.'s Form D for that round reports a first sale on November 18, 2021 and $385.1 million of equity sold against a $405.1 million offering, which suggests part of the headline figure was secondary or raised through other vehicles. Several special purpose vehicles, including Palm Tree Crew MoonPay Partners and Kinship MoonPay, filed their own Form Ds around the same time. In April 2022 the company announced an $87 million extension from more than 60 celebrity and individual backers. Later Form D filings in 2023 and 2025 show smaller equity sales, the largest about $17.2 million in mid 2025.
The company remains private and has used its balance sheet for acquisitions. In January 2025 it bought Helio, a crypto checkout processor used by Shopify and Discord merchants, for $175 million, its largest deal to that point, and in March 2025 it acquired the stablecoin platform Iron, which became the base for MoonPay Enterprise. In June 2025 it received a New York BitLicense and money transmitter license. Tiger Global marked its stake down to an implied $2.8 billion valuation at the end of 2022, and Wikipedia reports December 2025 talks with Intercontinental Exchange about investing in a round at a $5 billion valuation. In September 2026 MoonPay announced an agreement to acquire North Capital, a regulated private markets infrastructure firm.
MoonPay shows how crypto infrastructure companies raised large growth rounds at the 2021 market peak. Tiger Global and Coatue entered at a $3.4 billion valuation roughly two and a half years after founding, then saw that mark cut as trading volumes fell in 2022. The company's later regulatory licenses and stablecoin acquisitions point to a strategy of becoming payment infrastructure rather than a consumer exchange, which is the thesis its backers would need to work for a liquidity event at or above the 2021 price.
