1,871 private financings by operating companies, each read from the company's own Form D filed with the SEC. A Form D is due within 15 days of the first sale and states the amount sold, the securities, the exemption claimed and the officers and directors.
Every deal page links its filing on EDGAR. Where no press or company announcement has been matched, the page says so: the filing is then the only source, and the page shows only what the filing states.

Source. SEC Form D and Form D/A filings, parsed from each filing's XML by code. The warehouse has held operating-company filings since July 16, 2026; the latest filing in this build is dated September 29, 2026.
Who is counted. Companies raising money for themselves. Pooled investment funds, real estate and oil-and-gas syndications, insurance carriers, banks, trusts, SPV series and other investment vehicles are left out by industry group and by name. Fund filings are in the monthly New VC Funds report.
Amount sold. What the company reports having sold under the offering as of the filing date. A later amendment replaces it. It is not the announced round size, and it is never divided among investors.
Total offering. The most the company may sell under the offering, or Indefinite. It is an authorization, not money raised, and is never shown as a raise.
Filing only. A deal with no press or company announcement matched to it is published under a filing-only label. The filing is a primary source filed by the company itself, so the financing is real; round names, valuations and investors are left out because the filing does not state them.
Indexing. Deal pages for offerings that sold $3M or more are submitted to search engines; smaller ones are published for readers and kept out of the index.
