New VC Funds Filed with the SEC, Month by Month
A new fund or SPV raising under Regulation D files Form D with the SEC within 15 days of its first sale. This series lists each original filing by a venture pooled fund: who filed, which vehicle, where, whether the sponsor has filed before, and the offering size where it is disclosed.

How the series works
Who is counted. Original Form D filings (amendments excluded) by issuers in the Pooled Investment Fund industry group, filed in the calendar month, where the fund type is Venture Capital Fund, or the issuer matches a firm in the VC Beast directory whatever fund type it reports. Amendments are left out, so a fund is counted once, in the month it first filed.
Funds and series vehicles. A series vehicle is one cell of a master LLC or LP, usually a single-deal SPV run on a platform: names of the form "X, a series of Y", "Y - Series 6", "Y (Series 1)" or containing "SPV". Every other filing is counted as a fund vehicle.
First-time sponsors. A sponsor is first-time when none of its CIKs, principals, addresses, master entities or matched firm appear on an original pooled-fund filing in the warehouse before the month began (for earlier series vehicles, only their CIK and master entity count), and none of its vehicle names carries a fund number of II or higher. The warehouse starts in July 2024; the fund-number screen catches managers whose previous fund predates it, but a manager whose earlier fund was unnumbered and filed before July 2024 still reads as first-time.
Each edition compares its month with the two before it, and every number on it is generated by code from SEC EDGAR filings.
