What Changed in August 2026

August 2026 inverted the pattern of July 2026. Filings fell 13.4% to 1,771, the lowest count in this three-month series, while the combined disclosed target rose 69.8% to $47.82B from $28.16B. The size distribution accounts for it: filings targeting $500M or more went from 8 to 26, and filings under $1M from 585 to 446. Fewer funds, larger funds — the median disclosed target rose 40.9% to $1.3M.

Venture funds fell faster than the market: 713 filings against 903 in July 2026 (-21%), cutting VC from 44.2% of new fund filings to 40.3%. Size did not follow count, though — the largest disclosed target of the month in any category was ARCH Venture Fund XIV, L.P. at $3B, a venture fund.

DE held first place with 328 filings, ahead of NY (296), but both filed fewer funds than in July 2026. CA was the only state in the top five to move the other way.

The data does not explain why. Form D records that a filing happened, its target and its address — not the fundraising conditions behind it. A month-over-month move in these counts is a change in filing behaviour, and nothing in this dataset attributes it to a cause.

Read this table with one caveat: Form D reports the issuer’s principal-place-of-business state, and for funds that is often a legal or administrative address rather than where the manager actually sits. Delaware’s count in particular reflects vehicles formed and administered at their Delaware domicile address, not GPs based in Wilmington.

Methodology

Source. Public SEC EDGAR Form D filings, collected by VC Beast’s daily automated ingest into our Form D warehouse (coverage 2024-07-01 through 2026-09-11).

Scope. Industry group “Pooled Investment Fund,” original filings only — amendments (Form D/A) are excluded, so each record approximates one newly formed vehicle. Filings are bucketed by SEC filing date.

Targets, not closed capital. Form D discloses a target offering amount (frequently “Indefinite”) and the amount sold as of the filing date. Neither equals final closed fund size; we report them separately and never combine them into a single “raised” figure. Medians and totals cover filings with a defined dollar amount only (993 of 1,771 filings in August 2026).

Fund-type classification. Fund types are read from the Form D investmentFundType element on each filing. A warehouse ingest change on 16 July 2026 began storing the Investment Company Act exemption in that column instead of the fund category; because the affected filings retain their source XML, this report re-reads the category from the original filing for all 1,771 affected August 2026 records, of which 1,771 resolved and 0 did not. Every month in this series is therefore classified from the same field and remains directly comparable.

First-time funds. Issuers (by SEC CIK) with no prior Form D filing of any kind in the warehouse (coverage begins 2024-07-01). Because each fund vehicle files under its own CIK, this measures first-time vehicles, not first-time management firms — and an issuer whose only prior filing predates warehouse coverage would be counted as first-time.

Emerging-manager screen. First-time issuers targeting $10M+, excluding funds with a series token in the name (Roman/arabic/spelled fund numbers) and funds whose listed related persons appear on any earlier filing in the warehouse.

Omitted on purpose. No sector breakdown within funds (Form D classifies all of these filings under the single industry group “Pooled Investment Fund”; the fund-type split is the finest reliable cut) and no single “total raised” figure (see above). No causal explanation is offered for month-over-month movement: Form D does not carry one. Corrections: our corrections page.
