Read this table with one caveat: Form D reports the issuer’s principal-place-of-business state, and for funds that is often a legal or administrative address rather than where the manager actually sits. Delaware’s count in particular reflects vehicles formed and administered at their Delaware domicile address, not GPs based in Wilmington.

Methodology

Source. Public SEC EDGAR Form D filings, collected by VC Beast’s daily automated ingest into our Form D warehouse (coverage 2024-07-01 through 2026-07-17).

Scope. Industry group “Pooled Investment Fund,” original filings only — amendments (Form D/A) are excluded, so each record approximates one newly formed vehicle. Filings are bucketed by SEC filing date.

Targets, not closed capital. Form D discloses a target offering amount (frequently “Indefinite”) and the amount sold as of the filing date. Neither equals final closed fund size; we report them separately and never combine them into a single “raised” figure. Medians and totals cover filings with a defined dollar amount only (1,022 of 1,997 filings in June 2026).

First-time funds. Issuers (by SEC CIK) with no prior Form D filing of any kind in the warehouse (coverage begins 2024-07-01). Because each fund vehicle files under its own CIK, this measures first-time vehicles, not first-time management firms — and an issuer whose only prior filing predates warehouse coverage would be counted as first-time.

Emerging-manager screen. First-time issuers targeting $10M+, excluding funds with a series token in the name (Roman/arabic/spelled fund numbers) and funds whose listed related persons appear on any earlier filing in the warehouse.

Omitted on purpose. No sector breakdown within funds (Form D classifies all of these filings under the single industry group “Pooled Investment Fund”; the fund-type split is the finest reliable cut) and no single “total raised” figure (see above). Corrections: our corrections page.
