LP Data Room Checklist: Everything Your Fund Needs (2026)

Your data room is your fund's first impression with serious LPs. Before they commit capital, institutional investors — endowments, foundations, family offices, fund-of-funds — will request access to your data room and methodically review its contents. What they find (and don't find) shapes their confidence in your operational competence.

A poorly organized data room signals amateur hour. A comprehensive, well-structured data room signals that you run a tight operation — which is exactly what LPs want to see from an emerging manager asking them to lock up capital for 10 years.

Category 1: Fund Formation Documents

Every institutional LP will review these closely, often with their own legal counsel.

Required documents:

• Limited Partnership Agreement (LPA) — The governing document. LPs read this word for word.
• Private Placement Memorandum (PPM) — Disclosure document covering strategy, risks, terms, and regulatory disclosures.
• Subscription Agreement — The document LPs sign to commit capital. Include a blank template.
• Management Company Operating Agreement — Governs the GP entity.
• Side Letter Template — Standard terms (MFN, co-invest rights, fee discounts).
• Certificate of Formation / LP Certificate — Proof your fund entity exists.
• EIN Confirmation — IRS employer identification number.

What LPs focus on: Management fee structure, carried interest terms, GP commitment amount, key-person provisions, no-fault divorce clauses, investment restrictions, and fund term/extensions.
