Category 1: Fund Formation Documents
Every institutional LP will review these closely, often with their own legal counsel.
Required documents:
- Limited Partnership Agreement (LPA) — The governing document. LPs read this word for word.
- Private Placement Memorandum (PPM) — Disclosure document covering strategy, risks, terms, and regulatory disclosures.
