Fund Structure
Thesis
A VC fund's core investment hypothesis — defining what kinds of companies they invest in, why those companies will succeed, and why this fund is positioned to find them.
An investment thesis is a VC fund's articulated point of view about where the most attractive investment opportunities exist and why. A strong thesis answers: what specific types of companies we invest in (stage, sector, geography), why we believe this is a large opportunity (the insight or hypothesis), why now (what's changed that creates this opportunity), and why we're the right people to find and win these deals (our differentiation). Theses range from broad ('great founders building large markets') to highly specific ('B2B SaaS for the construction industry taking advantage of mobile-first infrastructure'). Having a clear thesis helps GPs make better investment decisions (does this fit?) and attracts aligned founders and LPs. LPs evaluate thesis quality as a key component of fund diligence.
